Introduction & Scope

Aafam Link LLC ("Company," "we," "us," or "our"), a limited liability company organized and operating under the laws of the Commonwealth of Virginia, with its principal place of business in Newport News, Virginia, is committed to protecting the privacy, confidentiality, and security of the personal and financial information entrusted to us by our clients.

This Privacy Policy ("Policy") describes the types of information we collect, how we use and safeguard that information, our legal obligations under applicable federal and Virginia state law, and the rights and choices available to you as a data subject and client.

This Policy applies to all information collected through our website located at www.aafamlinkllc.com (the "Site"), our appointment booking platform, our contact and intake forms, our email communications, and all professional tax preparation, financial planning, and consultancy services rendered by Aafam Link LLC and its authorized personnel (collectively, the "Services").

Important Because Aafam Link LLC provides tax preparation and financial planning services, the collection and use of your financial and tax return information is subject to heightened protection under federal law, including the Internal Revenue Code and the Gramm-Leach-Bliley Act. Please read Sections 6 and 7 of this Policy carefully.

Aafam Link LLC makes no representation that this Policy satisfies the requirements of any jurisdiction outside the United States of America. If you access our Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Definitions

Key Terms Used in This Policy
"Personal Information"
Any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked with a particular individual or household, as defined under VCDPA § 59.1-575.
"Tax Return Information"
All information from tax returns and related documents in the possession of a tax return preparer, or derived therefrom, as defined under IRC § 7216(b)(3) and Treas. Reg. § 301.7216-1(b)(3).
"Sensitive Data"
As defined by VCDPA § 59.1-575: personal data revealing racial or ethnic origin, mental or physical health diagnosis, sexual orientation, immigration status, religious beliefs, or financial information including Social Security numbers, tax identification numbers, and financial account data.
"Nonpublic Personal Information" (NPI)
Personally identifiable financial information you provide us to obtain financial services; information resulting from any transaction; or information we otherwise obtain in connection with providing financial services, as defined under GLBA 15 U.S.C. § 6809(4).
"Processing"
Any operation performed on personal data, whether by automated means, including collection, use, storage, disclosure, analysis, deletion, or modification, per VCDPA § 59.1-575.
"Consent"
A clear affirmative act signifying a freely given, specific, informed, and unambiguous indication of agreement to the processing of personal data. Consent may be revoked at any time.
"Data Breach"
Unauthorized acquisition of unencrypted and unredacted computerized data that compromises the security, confidentiality, or integrity of personal information, per Va. Code Ann. § 18.2-186.6.

Information We Collect

4.1 Information You Provide Directly

When you engage our Services, request an appointment, submit an inquiry, or communicate with us, we collect information you voluntarily provide, which may include:

  • Full legal name, mailing address, telephone number, and email address
  • Social Security Number (SSN) or Individual Taxpayer Identification Number (ITIN)
  • Date of birth, marital status, and household composition
  • Federal and state tax returns and schedules (Forms W-2, 1099, 1040, and related)
  • Business financial statements, payroll records, and corporate tax documents
  • Bank account and routing numbers for direct deposit purposes
  • Prior-year tax returns and IRS notices or correspondence
  • Employment, income, investment, and asset information
  • Health Savings Account (HSA) and retirement account information
  • Any other information necessary to provide the Services you request
4.2 Information Collected Automatically

When you visit our Site, we may automatically collect limited technical information including your Internet Protocol (IP) address, browser type and version, operating system, referring URL, pages visited, and date and time of access. We do not use persistent tracking cookies for advertising purposes.

4.3 Information We Do Not Collect

We do not knowingly collect biometric data, geolocation data, or any information from individuals under the age of thirteen (13) without verifiable parental consent. We do not purchase marketing lists or receive personal data from data brokers.

How We Use Your Information

Aafam Link LLC uses the personal and financial information we collect solely for legitimate business purposes directly related to the provision of our Services. Specifically, we use your information to:

  • Prepare, review, and file federal and state tax returns on your behalf
  • Provide tax consultancy, financial planning, and IRS audit support services
  • Communicate with you regarding your account, appointments, and completed work
  • Respond to your inquiries submitted through our contact form or by telephone
  • Send appointment confirmations, reminders, and follow-up communications
  • Verify your identity and prevent fraudulent or unauthorized use of our Services
  • Comply with mandatory IRS reporting, recordkeeping, and disclosure obligations
  • Comply with lawful orders, subpoenas, court orders, or regulatory requirements
  • Defend against legal claims, enforce our Terms of Service, and protect our rights
  • Send you tax tips, newsletters, or promotional communications, but only with your affirmative consent and subject to your right to opt out at any time
No Sale of Personal Information Aafam Link LLC does not sell, rent, trade, or otherwise transfer your personal information to third parties for their own marketing or commercial purposes. Your financial and tax information is never sold. Period.
Section 6

Tax Preparer Confidentiality — IRC § 7216

Statutory Authority: Internal Revenue Code § 7216, 26 U.S.C. § 7216; Treasury Regulation § 301.7216-1 through § 301.7216-3; IRS Revenue Procedure 2013-14, 2013-1 C.B. 433

Federal law imposes strict confidentiality obligations on tax return preparers. Under IRC § 7216, it is a federal criminal offense — punishable by a fine of up to $1,000, imprisonment of not more than one year, or both — for any person who is engaged in the business of preparing tax returns, or providing auxiliary services in connection with such preparation, to knowingly or recklessly disclose or use any tax return information for any purpose other than to prepare, or assist in preparing, a tax return.

Authorized Uses Without Consent: Under Treasury Regulation § 301.7216-2, Aafam Link LLC may use and disclose tax return information without your consent for the following purposes:

  • Preparing your tax return and related schedules and forms
  • Quality, peer, and conflict review of the return
  • Complying with legal processes (e.g., subpoenas, IRS summons, court orders)
  • Reporting certain crimes to applicable law enforcement agencies
  • Disclosure to other tax return preparers to assist with your return, subject to the same § 7216 obligations

Uses Requiring Written Consent: Any other use or disclosure of your tax return information — including disclosure to lenders for mortgage applications, financial institutions, or for marketing purposes — requires your prior written consent that complies with the requirements of IRS Revenue Procedure 2013-14, specifying the purpose, the intended recipient, and the information to be disclosed.

Federal Criminal Penalty Any unauthorized disclosure or use of your tax return information by a tax preparer is a federal misdemeanor under IRC § 7216. Aafam Link LLC takes this obligation with the highest seriousness and has implemented administrative, technical, and physical safeguards to prevent any unauthorized disclosure.

Gramm-Leach-Bliley Act Financial Privacy Disclosures

Statutory Authority: Gramm-Leach-Bliley Act, 15 U.S.C. §§ 6801–6827; FTC Privacy of Consumer Financial Information Rule, 16 C.F.R. Part 313; FTC Safeguards Rule, 16 C.F.R. Part 314 (amended 2023)

Because Aafam Link LLC provides financial services — specifically tax preparation, financial planning, and tax consultancy — we are a "financial institution" subject to the Gramm-Leach-Bliley Act (GLBA), 15 U.S.C. §§ 6801–6827. The GLBA requires that we provide you with clear notice of our privacy practices and protect the security and confidentiality of your nonpublic personal information (NPI).

7.1 Information We Collect (GLBA)

We collect NPI from you directly on our service intake forms, tax preparation documents, and appointment booking records. We do not collect NPI from consumer reporting agencies or other third-party data brokers.

7.2 Information We Share (GLBA)

We do not share your NPI with nonaffiliated third parties for marketing purposes. We may share NPI only in the limited circumstances permitted under 15 U.S.C. § 6802(e), including disclosures required to effect, administer, or enforce a transaction you requested; disclosures to protect against fraud or unauthorized transactions; and disclosures pursuant to law enforcement requests as required by law.

7.3 Information Security Program (FTC Safeguards Rule)

Pursuant to 16 C.F.R. Part 314 (the FTC Safeguards Rule, as amended effective June 9, 2023), Aafam Link LLC maintains a comprehensive written Information Security Program designed to protect the security, confidentiality, and integrity of client NPI. Our program includes: designating a qualified individual responsible for overseeing the program; conducting periodic risk assessments; implementing physical, technical, and administrative safeguards; training personnel in security practices; monitoring and testing controls; and responding to and recovering from security incidents.

Section 8

Disclosure to Third Parties

Aafam Link LLC does not disclose your personal or financial information to third parties except in the following circumstances, each of which is either required by law, necessary to provide the Services, or within the scope of your informed consent:

  • IRS and State Tax Authorities: Electronic and paper transmission of your completed federal and state tax returns, as authorized by you and required by law.
  • Service Providers: Third-party technology providers that support our operations (e.g., email delivery via EmailJS, calendar services) under contractual data protection obligations that prohibit those parties from using your data for their own purposes.
  • Legal Compliance: In response to a valid subpoena, court order, IRS summons, or other legal process, to the extent required by law.
  • Protection of Rights: When we believe in good faith that disclosure is necessary to prevent fraud, protect the legal rights or safety of Aafam Link LLC, its clients, or the public, consistent with applicable law.
  • Business Transfers: In connection with a merger, acquisition, or sale of all or substantially all of our assets, provided that the acquiring entity assumes our obligations under this Policy.
  • With Your Written Consent: For any other purpose, only upon your written, informed, and specific consent pursuant to IRC § 7216 and applicable law.
Section 9

Virginia Consumer Data Protection Act (VCDPA)

Statutory Authority: Virginia Consumer Data Protection Act, Va. Code Ann. §§ 59.1-575 through 59.1-585 (effective January 1, 2023)

As a business operating in the Commonwealth of Virginia, Aafam Link LLC recognizes and honors the rights afforded to Virginia residents under the Virginia Consumer Data Protection Act (VCDPA). Virginia residents whose personal data is processed by Aafam Link LLC have the following rights, subject to certain exceptions provided by law:

  • Right of Access (§ 59.1-577(A)(1)): You have the right to confirm whether Aafam Link LLC processes your personal data and to access such data.
  • Right of Correction (§ 59.1-577(A)(2)): You have the right to correct inaccuracies in your personal data, taking into account the nature of the data and our purposes for processing it.
  • Right of Deletion (§ 59.1-577(A)(3)): You have the right to request deletion of personal data you have provided or that we have collected about you, subject to legal retention requirements including IRS recordkeeping obligations.
  • Right of Portability (§ 59.1-577(A)(4)): You have the right to obtain a copy of your personal data in a portable and, to the extent technically feasible, readily usable format.
  • Right to Opt Out (§ 59.1-577(A)(5)): You have the right to opt out of the processing of your personal data for purposes of targeted advertising, the sale of personal data, or profiling. Aafam Link LLC does not engage in any of these activities.

To exercise any of the foregoing rights, please submit a verifiable request to our Privacy Officer using the contact information in Section 16. We will respond to authenticated requests within forty-five (45) days, with a possible extension of an additional forty-five (45) days where reasonably necessary, per Va. Code Ann. § 59.1-578. If we decline a request, you may appeal our decision by contacting us, and if we deny your appeal, you may contact the Virginia Attorney General at oag.state.va.us.

Section 10

Data Security

Aafam Link LLC implements and maintains administrative, technical, and physical security measures reasonably designed to protect your personal and financial information from unauthorized access, disclosure, alteration, destruction, or misuse. These safeguards are calibrated to the sensitivity of the data we hold, consistent with our obligations under the FTC Safeguards Rule (16 C.F.R. Part 314) and applicable Virginia law.

Our security measures include, but are not limited to, access controls limiting data access to authorized personnel on a need-to-know basis; encryption of data in transmission using industry-standard Transport Layer Security (TLS); secure, access-controlled physical file storage for paper documents; employee training on data security and confidentiality obligations; and incident response procedures consistent with Va. Code Ann. § 18.2-186.6.

Data Breach Notification In the event of a security breach affecting your personal information, Aafam Link LLC will notify affected individuals and the Virginia Attorney General as required by Va. Code Ann. § 18.2-186.6, without unreasonable delay and in no event later than sixty (60) days following discovery, unless law enforcement requests a delay.

No data transmission over the Internet or method of electronic storage is one hundred percent secure. While we strive to protect your personal information using commercially reasonable means, we cannot guarantee absolute security and disclaim liability for security breaches to the extent permitted by applicable law.

Section 11

Data Retention

Statutory Authority: IRC § 6107(b) (copy of return retention); IRS Rev. Proc. 98-25 (electronic records); 26 C.F.R. § 1.6001-1 (books and records)

Aafam Link LLC retains your tax return information and related personal data for as long as necessary to fulfill the purposes described in this Policy, and in any event for a minimum of three (3) years from the date of filing of the relevant return, consistent with IRC § 6107(b), which requires tax preparers to retain copies of returns or lists of taxpayers for a period of three years.

We may retain certain records for longer periods as required by IRS regulations, Virginia state law, or applicable professional standards, including records related to audits, collections, or litigation holds. Upon the lawful expiration of retention obligations, we will securely destroy or de-identify your personal information in a manner that renders it unrecoverable.

Section 12

Children's Privacy

Statutory Authority: Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506; 16 C.F.R. Part 312

Our Site and Services are not directed to children under the age of thirteen (13). We do not knowingly collect personal information from any individual under thirteen years of age through our digital platforms. If we become aware that we have collected personal information from a child under thirteen without verifiable parental consent, we will take prompt steps to delete that information consistent with our obligations under COPPA.

Tax preparation services for dependents under the age of eighteen (18) are provided through the responsible parent or legal guardian, who assumes full responsibility for authorizing the collection and use of the dependent's information in connection with our Services.

Section 13

Electronic Communications

Statutory Authority: CAN-SPAM Act, 15 U.S.C. §§ 7701–7713; ECPA, 18 U.S.C. §§ 2510–2523

If you subscribe to our newsletter or provide your email address in connection with our Services, we may send you commercial email communications regarding tax tips, service updates, and promotional offers. All such communications will comply with the CAN-SPAM Act, including clear identification of the sender, a valid physical postal address, and an unsubscribe mechanism that is honored within ten (10) business days of your opt-out request.

You may opt out of promotional communications at any time by clicking the "Unsubscribe" link in any email, by emailing us at [email protected], or by calling (757) 813-2202. Transactional communications related to active service engagements (appointment confirmations, document requests) are not subject to opt-out.

Section 14

Your Constitutional Privacy Rights

The United States Constitution provides a foundational framework for privacy rights that shapes our obligations and your protections. While the Constitution does not expressly enumerate a general right to privacy, the Supreme Court has recognized constitutionally protected privacy interests arising from the First, Fourth, Fifth, and Fourteenth Amendments.

The Fourth Amendment (U.S. Const. amend. IV) protects individuals against unreasonable government searches and seizures of their papers, records, and effects. In the context of tax records, the Supreme Court has recognized that while taxpayers have limited Fourth Amendment protections against lawful IRS summons (see United States v. Miller, 425 U.S. 435 (1976)), the protections afforded by IRC § 7216 and the GLBA operate as statutory safeguards reinforcing the spirit of Fourth Amendment privacy values in the private sector context.

The Fifth Amendment (U.S. Const. amend. V) protects individuals from being compelled to be witnesses against themselves. This protection is relevant in the tax preparation context, particularly with respect to IRS examination and audit proceedings. Aafam Link LLC, as your authorized representative, is committed to protecting your interests and will not voluntarily disclose information that may be adverse to your legal position without your informed consent or lawful compulsion.

The Fourteenth Amendment (U.S. Const. amend. XIV, § 1) guarantees due process and equal protection under the law. Aafam Link LLC is committed to applying its privacy policies equitably to all clients, without discrimination on the basis of race, color, national origin, sex, religion, disability, or other protected characteristics.

Section 15

Your Statutory Rights & Choices

In addition to your rights under the VCDPA (Section 9), you have the following rights and choices with respect to your personal and financial information:

  • Right to Withdraw Consent: Where we process your information based on your consent (including for marketing communications or IRC § 7216 disclosures), you may withdraw such consent at any time without penalty, though withdrawal will not affect the lawfulness of prior processing.
  • Right to Complain: You have the right to lodge a complaint with the Virginia Attorney General's Office regarding our data practices: oag.state.va.us | (804) 786-2071.
  • IRS Taxpayer Rights: You have all rights afforded under IRS Publication 1, "Your Rights as a Taxpayer," including the right to be represented before the IRS by an authorized representative of your choosing.

Section 1

Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("Client," "User," "you," or "your") and Aafam Link LLC, a Virginia limited liability company ("Aafam Link," "Company," "we," "us," or "our"), governing your access to and use of the website at www.aafamlinkllc.com and all professional services offered thereunder.

By accessing our Site, submitting an inquiry or appointment request, executing a service engagement, or receiving any Services from Aafam Link LLC, you represent and warrant that: (i) you have read, understood, and agree to be bound by these Terms; (ii) you have the legal capacity to enter into this Agreement; (iii) if acting on behalf of a legal entity, you have the authority to bind that entity to these Terms; and (iv) you will comply with all applicable federal, state, and local laws and regulations in your use of our Services.

If you do not agree to these Terms in their entirety, you must immediately cease all use of the Site and Services. These Terms may be updated by Aafam Link LLC from time to time, and your continued use of the Services following notice of any modifications constitutes your acceptance of the amended Terms.

Contract Law Basis: This Agreement is formed pursuant to common law principles of offer, acceptance, and consideration; the Uniform Commercial Code as adopted in Virginia, Title 8.2 Va. Code Ann.; and the Electronic Signatures in Global and National Commerce Act (E-Sign Act), 15 U.S.C. § 7001, and the Virginia Uniform Electronic Transactions Act, Va. Code Ann. §§ 59.1-479 through 59.1-497.
Section 2

Governing Law & Jurisdiction

Statutory Authority: Va. Code Ann. § 55.1-10 (choice of law); 28 U.S.C. § 1332 (diversity jurisdiction); U.S. Const. art. III, § 2 (judicial power); U.S. Const. art. VI, § 2 (Supremacy Clause)

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles, except to the extent that federal law expressly preempts state law. All claims, disputes, or controversies arising out of or relating to these Terms or the Services that are not resolved through the dispute resolution mechanism in Section 12 shall be submitted to the exclusive jurisdiction of the state or federal courts located in Newport News, Virginia or the Eastern District of Virginia, Newport News Division.

You hereby irrevocably consent to the personal jurisdiction of such courts, waive any objection to venue in such courts, and waive any claim that such courts are an inconvenient forum. Any judgment rendered by such courts shall be enforceable in any court of competent jurisdiction.

Section 3

Professional Standards — IRS Circular 230

Regulatory Authority: IRS Circular 230 (Standards with Respect to Tax Returns and Documents, Affidavits and Other Papers; and Representation Before the Internal Revenue Service), 31 C.F.R. Part 10; IRC § 7701(a)(36) (tax return preparer); Treasury Department Circular No. 230 (Rev. 6-2014)

To the extent that Aafam Link LLC's personnel are authorized practitioners under IRS Circular 230, the provision of all tax preparation and representation services is subject to the standards of professional conduct set forth therein, including, without limitation, the standards governing advice, competence, diligence, conflicts of interest, fees, and advertising.

Pursuant to 31 C.F.R. § 10.35, any written tax advice provided by Aafam Link LLC that does not constitute a "covered opinion" is subject to the applicable standards of practice under Circular 230. We are required to exercise professional judgment, maintain competency, and act in your best interest consistent with our professional obligations and applicable law.

Circular 230 Disclosure: To ensure compliance with requirements imposed by the Treasury Department, we inform you that any U.S. federal tax advice contained in this or any other communication from Aafam Link LLC is not intended or written to be used, and cannot be used, for the purpose of (i) avoiding penalties under the Internal Revenue Code or (ii) promoting, marketing, or recommending to another party any transaction or matter addressed herein, unless expressly stated otherwise and accompanied by a formal written opinion meeting the requirements of Circular 230.

Section 4

Description of Services

Aafam Link LLC provides the following professional services to individuals and businesses in the Hampton Roads area of Virginia and surrounding localities:

  • Individual Tax Preparation: Preparation and electronic filing of federal (Form 1040) and Virginia state income tax returns, including all applicable schedules and amendments

Clients are encouraged to consult qualified legal counsel and licensed investment advisors for matters outside our stated scope.
Section 5

Client Responsibilities

The accuracy and completeness of your tax returns depend on your good-faith provision of all relevant information. You agree and acknowledge that:

  • You will provide complete, accurate, and truthful information and documentation necessary for the preparation of your tax return, including all income sources, deductible expenses, credits, and disclosures required by law
  • You bear sole legal responsibility for the accuracy of the information you provide to Aafam Link LLC; we are not responsible for errors, penalties, or interest attributable to inaccurate or incomplete information supplied by you
  • You will review your completed tax return before signing and authorizing its filing; your signature on IRS Form 8879 or any equivalent authorization form constitutes your certification, under penalties of perjury (IRC § 7206), that the return is true, correct, and complete
  • You will promptly provide any additional information requested by Aafam Link LLC or the IRS in connection with your return
  • You will notify Aafam Link LLC immediately upon receipt of any IRS notice, examination request, or correspondence relating to a return we prepared
  • You will not use our Services for any unlawful purpose, including tax fraud, identity theft, or the filing of any false return, the commission of which may subject you to criminal prosecution under IRC §§ 7201–7207 and 18 U.S.C. § 1001
Section 6

Engagement & Fees

Professional service fees are agreed upon at the commencement of each engagement, as set forth in a written engagement letter or invoice. All fees are subject to the following terms:

  • Fees are due and payable upon completion of Services, unless otherwise agreed in writing
  • We reserve the right to require a retainer deposit for complex engagements prior to commencement of work
  • Additional charges may apply for amended returns, extended engagements, or services materially beyond the original scope
  • Aafam Link LLC does not condition the preparation of your tax return on your purchase of any other financial product or service
  • Fees charged by Aafam Link LLC do not include IRS filing fees, third-party software fees, or state agency fees, where applicable
  • Unpaid balances may accrue interest at the rate of one percent (1%) per month from the date due, or the maximum rate permitted by Virginia law (Va. Code Ann. § 6.2-302), whichever is lower
Fee Regulation: Pursuant to 31 C.F.R. § 10.27, fees for tax services must be reasonable. Aafam Link LLC does not charge contingency fees for preparing original tax returns or claims for refund. Unconscionable or clearly excessive fees are prohibited under Circular 230.
Section 7

Electronic Signatures & Records

Statutory Authority: Electronic Signatures in Global and National Commerce Act (E-Sign Act), 15 U.S.C. §§ 7001–7006; Virginia Uniform Electronic Transactions Act (UETA), Va. Code Ann. §§ 59.1-479 through 59.1-497; IRS Rev. Proc. 2021-38 (electronic signatures on IRS forms)

Your agreement to these Terms through any electronic means — including checking a consent box, submitting an online form, or digitally signing any document — constitutes a valid and legally binding electronic signature under the E-Sign Act and the Virginia UETA. You consent to the use of electronic records and signatures in connection with all aspects of your engagement with Aafam Link LLC.

You have the right to receive a paper copy of any electronic record upon request. This right shall not constitute a waiver of the electronic record provisions of this Agreement unless you specifically withdraw your consent to electronic transactions in writing.

Section 8

Intellectual Property

All content on the Site, including text, graphics, logos, service descriptions, images, and software, is the property of Aafam Link LLC or its content suppliers and is protected under United States copyright law (17 U.S.C. §§ 101 et seq.), trademark law (15 U.S.C. §§ 1051 et seq.), and other applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and view Site content for personal, non-commercial purposes only.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our Site without the express prior written consent of Aafam Link LLC. Unauthorized use may subject you to civil and criminal liability under federal copyright law.

The completed tax returns and financial documents we prepare on your behalf remain your property. Aafam Link LLC retains copies solely for the mandatory retention period required by IRC § 6107(b) and applicable professional standards.

Disclaimers of Warranty

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. AAFAM LINK LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Aafam Link LLC does not warrant that: (i) the Site will be uninterrupted, error-free, or secure; (ii) any tax advice provided will result in any specific tax outcome, refund, or reduction of tax liability; (iii) the IRS or any state tax authority will accept any filed return; or (iv) the Site is free from viruses, malware, or other harmful components.

Tax law is subject to change by act of Congress, Treasury regulation, IRS guidance, and judicial interpretation. Aafam Link LLC does not warrant that any tax advice provided will remain applicable following changes in law. We are not responsible for any adverse tax consequences resulting from changes in law occurring after the date services are rendered.

Section 10

Limitation of Liability

Legal Basis: Va. Code Ann. § 13.1-1025 (LLC member and manager liability); UCC § 2-719 (limitation of remedies); Restatement (Second) of Contracts § 356 (liquidated damages)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AAFAM LINK LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF AAFAM LINK LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Aafam Link LLC's aggregate liability to you for any and all claims arising from or related to a specific service engagement shall not exceed the total fees paid by you to Aafam Link LLC for the specific service giving rise to the claim in the twelve (12) months preceding the event giving rise to liability.

Aafam Link LLC shall not be liable for any IRS penalties, interest, assessments, or additional tax due arising from your failure to provide complete and accurate information, errors in returns filed by prior preparers, changes in applicable law, or IRS interpretations differing from those applied at the time services were rendered.

Some jurisdictions do not permit the limitation of certain warranties or the exclusion of liability for certain types of damages. To the extent that applicable law does not permit such exclusions or limitations, they shall apply to the fullest extent permitted by law.

Section 11

Indemnification

You agree to defend, indemnify, and hold harmless Aafam Link LLC, its members, managers, officers, employees, contractors, agents, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees (including IRS penalties and interest) arising out of or relating to: (a) your violation of these Terms; (b) your use or misuse of the Site or Services; (c) your provision of false, inaccurate, or incomplete information in connection with any tax return we prepare; (d) your violation of any federal, state, or local law or the rights of any third party; or (e) any claim by the IRS or other taxing authority arising from inaccuracies attributable to information you supplied.

Aafam Link LLC reserves the right to assume exclusive control of the defense of any matter for which you are required to indemnify us, in which case you agree to cooperate fully with our defense at your expense.

Section 12

Dispute Resolution

Legal Authority: Federal Arbitration Act (FAA), 9 U.S.C. §§ 1–16; Va. Code Ann. §§ 8.01-577 through 8.01-581.016 (Virginia Uniform Arbitration Act); U.S. Const. amend. VII (right to jury trial)
12.1 Good-Faith Negotiation

In the event of any dispute, claim, or controversy between you and Aafam Link LLC arising out of or relating to these Terms or the Services ("Dispute"), the parties agree to first attempt to resolve the Dispute through good-faith negotiation. Either party shall provide written notice of the Dispute, and the parties shall have thirty (30) days from such notice to resolve the matter informally.

12.2 Binding Arbitration

If the Dispute is not resolved through negotiation within thirty (30) days, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) pursuant to its Commercial Arbitration Rules. The arbitration shall take place in Newport News, Virginia, or by video conference if agreed by the parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own arbitration costs, except as the arbitrator may determine to be appropriate under the circumstances.

12.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency or preliminary injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving the right to arbitrate the underlying Dispute. Claims for amounts less than ten thousand dollars ($10,000) may be brought in small claims court in the City of Newport News, Virginia, at the filing party's election.

12.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION AGAINST AAFAM LINK LLC. ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY. This waiver is a material term of these Terms and may not be severed from the arbitration provision.

Section 13

Prohibited Conduct

You agree not to use the Site or Services to:

  • Violate any federal, state, or local law, regulation, or ordinance, including tax laws and anti-fraud statutes
  • Submit any false, misleading, or fraudulent information in connection with any tax return or service engagement
  • Engage in tax fraud, tax evasion, identity theft, or conspiracy to defraud the United States or any state — all of which are federal and state crimes subject to criminal prosecution
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Transmit any malware, spyware, ransomware, or other malicious code to our systems
  • Attempt to gain unauthorized access to our systems, databases, or client files
  • Violate the privacy or personal rights of any other individual or entity
  • Engage in any conduct that, in our sole discretion, restricts or inhibits any other person from using or enjoying the Site or Services
Criminal Statutes: Tax fraud is a federal crime under IRC §§ 7201–7207 and 18 U.S.C. § 287. Identity theft is prosecuted under 18 U.S.C. § 1028. Computer intrusion is prosecuted under the Computer Fraud and Abuse Act, 18 U.S.C. § 1030, and Virginia Computer Crimes Act, Va. Code Ann. § 18.2-152.3.
Section 14

Termination

Aafam Link LLC reserves the right, at its sole discretion and without notice or liability, to terminate or suspend your access to the Site or any aspect of the Services for any reason, including, without limitation, your breach of these Terms, suspected fraudulent or illegal conduct, or any other conduct that we determine, in our reasonable judgment, to be harmful to Aafam Link LLC, other clients, or third parties.

A Client may terminate a service engagement at any time by providing written notice to Aafam Link LLC. Fees for Services rendered prior to termination remain due and payable. Any work product delivered prior to termination shall be subject to the applicable provisions of these Terms.

Upon termination of any engagement, Aafam Link LLC will, upon written request, return or provide copies of documents and information you supplied, subject to applicable legal and regulatory retention obligations. The provisions of these Terms that by their nature should survive termination (including Sections 7–12 and 15) shall so survive.

Section 15

Miscellaneous Provisions

  • Entire Agreement: These Terms, together with any written engagement letter, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings relating thereto.
  • Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.
  • Waiver: No waiver by Aafam Link LLC of any term or condition of these Terms shall be deemed a continuing waiver of such term or any other term. Failure to enforce any provision shall not constitute a waiver.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms without Aafam Link LLC's prior written consent. Aafam Link LLC may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party shall be liable for delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, government orders, pandemics, civil unrest, or failures of third-party infrastructure.
  • Notice: All formal legal notices to Aafam Link LLC must be in writing and delivered by certified U.S. mail or nationally recognized overnight courier to our principal place of business in Newport News, Virginia, or by email to [email protected] with confirmation of receipt.
  • No Third-Party Beneficiaries: These Terms are for the sole and exclusive benefit of the parties hereto. Nothing in these Terms shall confer any rights or remedies upon any third party.

The U.S. Department of Justice has consistently taken the position that the ADA's Title III requirements apply to the websites of entities that operate as places of public accommodation, including businesses providing professional services to the public. In Robles v. Domino's Pizza, LLC, 913 F.3d 898 (9th Cir. 2019), the Ninth Circuit affirmed that the ADA applies to commercial websites with a sufficient nexus to a physical location.
